GENERAL TERMS AND CONDITIONS

These General Terms and Conditions are attached to each proposal sent to a client.

The terms and conditions of commercial cooperation set below form a binding part of each sale and purchase agreement concluded by P.P.H.U. POLIPACK Sp. j. and are deemed to be known unless special conditions have been agreed in writing.

1. P.P.H.U. Polipack Sp. j. only accepts orders for products in writing (by fax: 058 677 59 62, e-mail: polipack@polipack.com.pl, registered letter: ul. Słoneczna 36, 84-241 Gościcino, Poland), which include details of the Ordering Party (name, address, tax identification number) and the name of a contact person, if any, and which specify: the kind of products, the approximate quantity, the place and type of delivery. By placing an order, the Ordering Party undertakes to receive it.
2. On the Client’s first order, if payment is to be made by transfer, the following documents are required: certificate of entry in the business activity register or an excerpt from the commercial register, REGON (national business register number) certificate and a NIP (taxpayer identification number) certificate (in order to secure the transaction).
3. Upon each change in the commercial register or in the certificate of business activity (e.g. change of address, line of business, representing persons, etc.), the Client shall send a copy of the register showing the changes made.
4. The prices in the cost estimate are given in PLN or EUR before VAT, exclusive of prices of collective packaging (cardboard box, spacer, foam) and the costs of transport, unless the Parties have agreed otherwise. Prices given in a foreign currency shall be converted into PLN on the invoice date at NBP rates (National Bank of Poland) as of the preceding business day.
5. The cost estimate prepared by P.P.H.U. Polipack Sp.j. remains valid for a period of 30 calendar days from the proposal date.
6. The prices in the cost estimate are given for product quantities specified in the order (or Proposal Request). If the actual quantity of purchased products differs from the quantity on which the cost estimate is based, P.P.H.U. Polipack shall have the right to modify the prices.
7. Upon receipt of an order, P.P.H.U. Polipack Sp.j. shall issue a pro-forma invoice and send it by fax to the Client. The invoice shall state the date and method of payment. Upon the Client’s payment and having received proof of payment by fax, P.P.H.U. Polipack Sp.j. shall issue an invoice for the goods ordered. A pro-forma invoice remains valid for a period of 5 days from its issue date.
8. The terms of payment for the goods may be negotiated. In each case, negotiations must be made in writing and shall be considered on an individual basis.
9. The basic forms of payment accepted by P.P.H.U. POLIPACK Sp.j. are: money transfer and cash payments. The form of payment shall depend on individual stipulations concluded between the Parties in writing, and on the size of the order.
10. The goods delivered to the Ordering Party shall remain the property of P.P.H.U. POLIPACK Sp.j. until the total price is paid.
11. Orders are carried out in quantities being a multiple of base packages (bases and lids are packed separately) or in sets. The basic packaging is a cardboard box.
12. Packaging consisting of a cardboard box + foil on a EURO pallet is returnable.
13. To deliver the ordered goods P.P.H.U. Polipack sp. j. uses the services of the UPS/Stolica courier company (delivery cost of 1 cardboard box – PLN 17 net) or PEKAES (delivery cost of 1 EURO pallet up to 2 m high – PLN 130 net + pallet price PLN 20 net/unit). The type of transport and the prices refer only to domestic transport. The Client has the right to choose the transport company for delivery of the goods ordered. Goods can be collected individually by the Client - stipulations in this respect must be made in writing.
14. The order delivery date, counting from the order placement date, is:
    • for standard colours, i.e. white or natural, up to 21 days
    • for non-standard colours offered by P.P.H.U. POLIPACK Sp.j., up to 28 days
    The order delivery date is counted from the date of the Client's approval of a sample
15. Confirmations of order delivery dates are sent to the Client on request.
16. Product specifications of packages manufactured according to the order shall be delivered solely on the Client’s written request.
17. Technical data of the product, available on the website, in catalogues, brochures, price lists and similar documentation, are only indicative.
18. The Client agrees to accept the execution of orders with +/- 5% quantitative tolerance. In the event of the quantity being changed within +/- 5%, the items on the invoice shall be adjusted to the quantity of goods actually delivered.
19. In the event of a default in the collection of the goods or failure to collect the goods by a forwarding company employed by the recipient, a stipulated penalty shall be charged to the amount of 0.1% of the order value for each day of default, counting from the delivery date of the order by P.P.H.U. POLIPACK Sp. j.
20. If a deferred payment date is granted to the Ordering Party, P.P.H.U. POLIPACK Sp. j. has the right to charge default interest and reminder costs of PLN 50 + VAT for each reminder. The stipulated default interest is four times the value of NBP’s Lombard (collateral) loan per annum.
21. P.P.H.U. POLIPACK Sp. j. reserves the right to use the manufactured products in promotional materials and as product samples on display or on their website: www.polipack.com.pl.
22. Any damage resulting from further processing of the goods, or arising from improper storage or use inconsistent with the intended use, or resulting from delayed collection, shall not be subject to return or replacement procedures.
23. P.P.H.U. Polipack Sp.j. shall not be liable for defects in goods if the goods are resold to third parties.
24. The Ordering Party should inspect the goods immediately on their receipt in terms of quality and quantity. The Ordering Party should notify P.P.H.U. Polipack Sp.j. forthwith in writing of any quantitative discrepancies with the delivery documents or any qualitative discrepancies identified within 7 days.
25. Any disputes arising during the execution of orders shall be settled amicably or by taking legal action.

26. For matters that are not governed by the agreement, the provisions of the Civil Code shall apply. Any disputes resulting from the application of the agreement shall be settled by the court having local and material jurisdiction over P.P.H.U. POLIPACK Sp.j.

27. W sprawach nie uregulowanych postanowieniami niniejszej umowy mają zastosowanie przepisy Kodeksu Cywilnego. Ewentualnie spory wynikłe na tle stosowania niniejszej umowy będą rozstrzygane przez sąd właściwy miejscowo i rzeczowo dla firmy P.P.H.U. POLIPACK Sp.j.
28. By placing an order with P.P.H.U. POLIPACK Sp.j., the Ordering Party accepts the above stipulations and agrees to the execution of the order based on the above stipulations.
